End user licence agreement

Version 2.3, dated 4 October 2026

This is the latest version of the agreement. Each version of Nuclr Commander is governed by the copy supplied with it, which it shows before it is first used and ships beside the application as EULA. Use of this website is covered separately by the website terms.

NUCLR COMMANDER
END USER LICENCE AGREEMENT

Copyright (c) 2026 Sergey Nechaev, trading as nuclr.dev. All rights reserved.
Version 2.3, dated 4 October 2026.

This agreement is supplied with the Software. The copy supplied with the
version of the Software you install is the copy that governs that version.
The current version is also published at https://nuclr.dev/legal/eula.

IMPORTANT - READ THIS BEFORE INSTALLING OR USING THE SOFTWARE

This is a legal agreement between you and Sergey Nechaev, trading as
nuclr.dev (ABN 54 906 218 088). By downloading, installing, copying or
using Nuclr Commander, you agree to be bound by every term below.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT INSTALL OR USE THE SOFTWARE.
Stop now, delete any copy you have obtained, and you owe nothing further.

There is no other way to use the Software. Acceptance of this agreement
and acceptance of all of the risks described in clauses 7 to 9 are the
price of the licence, and they are not severable from it.

1. DEFINITIONS

"Software" means the Nuclr Commander desktop application supplied by
nuclr.dev, in object code form, together with its documentation and any
updates supplied to you, but excluding Third-Party Components and
Plugins as defined in clause 4.

"nuclr.dev", "we" and "us" mean Sergey Nechaev, a sole trader
carrying on business in New South Wales, Australia under the registered
business name nuclr.dev (ABN 54 906 218 088), who is the author and
copyright owner of the Software. "You" means the individual or entity accepting this
agreement; if you accept it for an entity, you warrant that you are
   authorised to bind that entity.

2. LICENCE GRANT

Subject to your compliance with this agreement, we grant you a
personal, non-exclusive, non-transferable, worldwide licence to
install and use the Software for its intended purpose. This licence
is perpetual unless terminated under clause 14.

You may make a reasonable number of copies of the Software for backup
and archival purposes. Those copies remain subject to this agreement.

The Software is currently supplied free of charge. Nothing in this
agreement obliges us to continue supplying it free of charge, and any
change will apply only to versions released after the change.

3. RESTRICTIONS

Except to the extent that applicable law grants you a right that
cannot lawfully be excluded or limited by agreement, and except as
clause 4 provides for Third-Party Components, you may not:

   (a) reverse engineer, decompile or disassemble the Software, or
otherwise attempt to derive its source code or underlying
       structure;

   (b) modify, adapt, translate or create derivative works of the
       Software;

   (c) distribute, publish, rent, lease, lend, sell, sublicense, assign
or otherwise transfer the Software or your rights under this
       agreement;

   (d) remove, alter or obscure any copyright, trademark or other
       proprietary notice in or displayed by the Software;

   (e) circumvent, disable or interfere with any licensing, security,
code-signing or plugin-integrity mechanism in the Software.

Nothing in this clause restricts anything permitted by sections 47B
to 47F of the Copyright Act 1968 (Cth) - including reproduction for
interoperability, error correction and security testing - or by the
equivalent provisions of the law that applies to you. Section 47H of
that Act makes any term to the contrary void, and this clause is to
   be read accordingly.

4. THIRD-PARTY COMPONENTS AND PLUGINS

   4.1 Third-Party Components. The Software includes open-source
components licensed to you by their own authors under their own
licences, listed in the accompanying THIRD-PARTY-NOTICES file
supplied with the Software. Nothing in this agreement
restricts, and no term of this agreement is to be read as
restricting, any right those licences give you. Where this
agreement conflicts with such a licence, that licence prevails
       for that component.

This applies in particular to components licensed under the GNU
Lesser General Public License. For those components you have the
right to modify them, to use the Software with your modified
version, and to reverse engineer as necessary to debug those
modifications - despite clause 3(a) and 3(b). Write to
[email protected] and we will provide what you need to do so.

4.2 Plugins. The Software can load plugins. A plugin is separate
software, written and licensed by whoever wrote it, on their
terms. We do not write, own, review, endorse or warrant
       third-party plugins.

A plugin you install runs on your computer with your own file
access and your own privileges. It can read, change and delete
anything you can. Installing a plugin is your decision and your
       risk.

4.3 The plugin blacklist is not a warranty. We publish a signed list
of plugins reported to behave maliciously, and the Software
refuses to load them. That list is a safety net offered in good
faith on the information available to us. It is not a security
guarantee, it is not exhaustive, and the absence of a plugin from
it is not a statement that the plugin is safe, is endorsed, or
       has been reviewed by us.

5. OWNERSHIP

The Software is our proprietary property and is protected by
copyright and other intellectual property laws. We retain all right,
title and interest in and to the Software, and no rights are granted
to you except those expressly set out in this agreement.

Feedback you choose to send us about the Software may be used by us
without restriction or obligation to you. You are not required to
   send us feedback.

6. NO SUPPORT AND NO OBLIGATION TO UPDATE

We are under no obligation to provide support, maintenance, bug
fixes, updates or new versions, to keep any online service running,
or to continue publishing the Software at all. We may change,
suspend or discontinue any part of the Software or any related
service at any time. Any support we do provide is provided
voluntarily and on the same "as is" basis as the Software itself.

7. ASSUMPTION OF RISK

YOU USE THE SOFTWARE ENTIRELY AT YOUR OWN RISK.

The Software is a file manager. Its ordinary operation copies, moves,
renames, overwrites and permanently deletes files and directories on
your computer and on any storage it can reach. A mistaken keystroke,
a defect in the Software, a defect in a plugin, or a fault in your
hardware, filesystem or network can destroy data irrecoverably, and
deletion may bypass any recycle bin or trash folder.

You are solely responsible for maintaining current, tested backups of
any data you value before using the Software, and for verifying the
result of any operation you perform with it. You accept the risk of
loss, corruption or destruction of data as a condition of the
   licence granted in clause 2.

8. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND SUBJECT TO
CLAUSE 10, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE",
WITH ALL FAULTS AND WITHOUT WARRANTY, CONDITION, GUARANTEE OR
REPRESENTATION OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY.

WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES AND CONDITIONS OF
MERCHANTABILITY, ACCEPTABLE OR SATISFACTORY QUALITY, FITNESS FOR A
PARTICULAR PURPOSE, TITLE, ACCURACY, SECURITY AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, THAT
IT WILL OPERATE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE
CORRECTED, THAT IT IS FREE OF HARMFUL CODE, OR THAT ANY DATA IT
HANDLES WILL BE PRESERVED OR RECOVERABLE.

No advice or information, oral or written, obtained from us or
elsewhere creates any warranty not expressly stated here.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND SUBJECT TO
   CLAUSE 10:

   (a) WE WILL NOT BE LIABLE FOR ANY LOSS, CORRUPTION, DELETION OR
INABILITY TO RECOVER DATA; ANY LOSS OF PROFIT, REVENUE, BUSINESS,
GOODWILL, ANTICIPATED SAVINGS OR OPPORTUNITY; ANY BUSINESS
INTERRUPTION OR COST OF SUBSTITUTE SOFTWARE; OR ANY INDIRECT,
INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE LOSS OR
       DAMAGE, HOWEVER CAUSED;

   (b) WE WILL NOT BE LIABLE FOR ANYTHING ARISING FROM A PLUGIN, A
THIRD-PARTY COMPONENT, OR ANY THIRD-PARTY SERVICE, SITE OR
       CONTENT REACHED THROUGH THE SOFTWARE;

   (c) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR IN
CONNECTION WITH THE SOFTWARE OR THIS AGREEMENT WILL NOT EXCEED
THE GREATER OF THE AMOUNT YOU ACTUALLY PAID US FOR THE SOFTWARE
IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, AND ONE AUSTRALIAN
       DOLLAR (AUD $1.00).

These limits apply to every basis of claim - contract, tort
(including negligence), statute, equity or otherwise - even if we
have been advised of the possibility of the loss, and even if a
limited remedy is found to have failed its essential purpose.

Nothing in this agreement excludes or limits liability that cannot
lawfully be excluded or limited, including liability for death or
personal injury caused by negligence, or for fraud or fraudulent
   misrepresentation.

10. AUSTRALIAN CONSUMER LAW

Nothing in this agreement excludes, restricts or modifies any
guarantee, right or remedy you have under the Australian Consumer Law
(Schedule 2 to the Competition and Consumer Act 2010 (Cth)) or any
other law, to the extent that doing so would be void or would
   contravene that law.

If the Australian Consumer Law applies to our supply of the Software
and we breach a consumer guarantee, then to the extent the law allows
us to do so, our liability for that breach is limited, at our option,
to supplying the Software again or paying the cost of having it
   supplied again.

If you are in a jurisdiction whose law gives you mandatory rights
that this agreement would otherwise reduce, this agreement applies to
you only so far as that law permits.

11. YOUR INDEMNITY

You will indemnify us against any claim, liability, loss, damage,
cost or expense (including reasonable legal costs) arising from your
use of the Software in breach of this agreement or in breach of any
law, or from any plugin or third-party software you install or use
with it. This clause does not apply to the extent the claim arises
from our own breach of this agreement.

12. NETWORK ACTIVITY AND PRIVACY

The Software makes network requests: it can check for updates,
download an update you choose to install, fetch the signed plugin
blacklist, and check connectivity against standard public endpoints
   operated by third parties.

12.1 Optional usage analytics. Accepting this agreement does not
consent to analytics, and allowing analytics is not a condition
of the licence. Analytics are off until the Software presents a
separate notice and you choose "Allow usage analytics". If
you decline or close that notice, nothing is collected and the
        Software remembers that choice.

If you allow analytics, the Software periodically sends us:

        (a) the Software version;

        (b) a coarse operating-system family (Windows, macOS, Linux or
other) and processor architecture (x86-64, ARM64, x86 or
            other); and

        (c) aggregate counts of these fixed events: starting and closing
the Software; opening plugin management, a system console,
computer information, themes, settings, feedback or the
About dialog; toggling a panel console; and requesting an
            update check.

The analytics payload contains no name, email address, account,
licence key, installation identifier, device identifier, session
identifier, locale, client timestamp, arbitrary property, file
content, file name or path, directory listing, command, feedback
text or error-report content. We do not use the analytics for
advertising, profiling or tracking people across services.

Like any internet request, a production analytics request reveals
its source IP address to our server and infrastructure providers.
The endpoint uses that address only in an expiring, in-memory
one-hour abuse limiter; it is not stored with the analytics. Normal
server and CDN logs may retain request metadata, including the IP
address, under the retention period in our privacy notice.

Each accepted batch is immediately added to UTC daily counters by
Software version, operating-system family, architecture and event.
The batch itself is not retained. Because no identifier links a
counter to you, we cannot identify or remove one person's
contribution after it has been aggregated.

You may change your choice at any time under Settings > Privacy.
Turning analytics off stops future collection and discards counters
that have not yet been sent. Local and development profiles send to
a service on localhost instead of nuclr.dev; production profiles send
        to nuclr.dev's service.

12.2 Error reports. If the Software encounters an unexpected error
it may offer to send us a report about that error. Nothing is
transmitted unless you approve it. The report is shown to you
in full, in an editable form, and is sent only if you then
choose to send it; you may change or delete any part of it
first, and you may decline. The report we propose contains the
error and its stack trace, the version of the Software, and
information about your operating system, your Java runtime and
the options that runtime was started with. You can switch the
offer off permanently, in the error dialog itself or in the
Software's settings, and we will not ask again.

12.3 Your files. Except for material you yourself choose to include
in an error report, the Software does not send us the contents,
names or paths of your files, or the directories you browse.
An error message can occasionally name a file involved in the
error. That is precisely why a report is shown to you before it
is sent, and why you can edit it.

Further details about collection, use, disclosure, retention and your
choices are in the accompanying PRIVACY file and our privacy notice at
   https://nuclr.dev/legal/privacy.

13. UNSUITABLE USES

The Software is a general-purpose developer tool. It is not designed,
tested or certified for use in any environment where failure could
lead to death, personal injury, or severe physical, environmental or
financial harm - including life support, medical devices, aircraft or
vehicle control, nuclear facilities, weapons systems, emergency
services and industrial control systems. You must not use it for such
purposes, and we disclaim any liability for such use.

You must not use the Software in breach of any applicable export
control or sanctions law, and you confirm you are not subject to any
   such prohibition.

14. TERM AND TERMINATION

This agreement applies from the moment you first download, install,
copy or use the Software, and continues until terminated.

It terminates automatically and immediately if you breach any of its
terms. You may terminate it at any time by ceasing all use of the
Software and destroying every copy in your possession or control. On
termination for any reason you must do the same.

   Clauses 1, 4.2, 4.3, 5, 7, 8, 9, 10, 11, 13, 14, 15 and 16 survive
   termination.

15. GOVERNING LAW AND JURISDICTION

This agreement is governed by the laws of New South Wales, Australia.
You and we submit to the non-exclusive jurisdiction of the courts of
New South Wales and the courts competent to hear appeals from them.

If you are a consumer resident elsewhere, this clause does not
deprive you of the protection of any mandatory law of your place of
residence, or of the right to bring proceedings there where that law
   gives you that right.

The United Nations Convention on Contracts for the International Sale
of Goods does not apply to this agreement.

16. GENERAL

16.1 Severability. If any provision of this agreement is held
invalid, illegal or unenforceable, it is to be read down to the
minimum extent necessary to make it valid, or if that is not
possible, severed. The remaining provisions continue in full
force. In particular, if any part of clause 8 or clause 9 is
held unenforceable, the rest of those clauses continue to apply
        to the maximum extent permitted.

16.2 Entire agreement. This agreement, with the documents it refers
to, is the entire agreement between you and us about the
Software, and replaces any earlier understanding or
representation about it. Clause 10 is not affected by this.

16.3 No waiver. A failure or delay by us in enforcing any provision
is not a waiver of it, and does not prevent later enforcement.

16.4 Assignment. You may not assign or transfer this agreement or any
right under it without our prior written consent. We may assign
it, in whole or in part, to a successor in interest to the
        Software.

16.5 Changes to this agreement. We may publish a revised agreement
for future versions of the Software. A revised agreement applies
only to versions you download, install or use after it is
published; it does not change the terms on which you already
hold a copy. The version and date at the top of this file
identify which agreement applies to this copy.

16.6 Interpretation. Headings are for convenience only. "Including"
and "in particular" do not limit what precedes them.

16.7 Contact. Questions about this agreement: [email protected].
